Terms of Service

By accessing or using Karaty in any way, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the platform.

You must be at least 13 years of age to use Karaty. If you are between the ages of 13 and 18, you may only use Karaty with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By allowing your child to use Karaty, a parent or legal guardian accepts these Terms and is responsible for their child's activity on the platform.

These Terms constitute a legally binding agreement between you and Yanza LTD. By using Karaty, you represent and warrant that you have the legal capacity to enter into this agreement.

Karaty is a Hebrew-first social platform that enables users to create, share, and discuss content within topic-based communities ("Spaces"). The platform allows users to:

• Create an account and build a user profile
• Create and join Spaces organized around topics of interest
• Submit posts, including text, links, and media content
• Comment on and discuss posts
• Vote on posts and comments to influence content ranking

The platform also provides community management tools for Space owners and moderators, including content moderation features and activity reporting.

Karaty is available as a web application and as a Progressive Web App (PWA) that can be installed on compatible devices. Yanza LTD reserves the right to modify, suspend, or discontinue any part of the platform at any time, with or without notice. We may also add, change, or remove features and functionality at our sole discretion.

To access certain features of Karaty, you must create an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for keeping your account credentials secure and confidential, and for all activity that occurs under your account.

You may not create or use more than one account. Creating additional accounts to evade bans, suspensions, or other restrictions imposed by Yanza LTD or by Space moderators is strictly prohibited.

Yanza LTD reserves the right to suspend, disable, or terminate your account at any time if we reasonably believe that you have violated these Terms, or for any other reason at our discretion.

You may delete your account at any time. Upon deletion, your profile will be removed. However, content you have posted may continue to exist on the platform as described in Section 4 below.

Ownership. You retain ownership of any content that you create and submit to Karaty ("Your Content"), including posts, comments, images, and any other material. Yanza LTD does not claim ownership of Your Content.

License Grant. By submitting Your Content to Karaty, you grant Yanza LTD a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, copy, modify, adapt, distribute, display, publish, and create derivative works from Your Content in connection with operating, developing, and improving the Karaty platform and Yanza LTD's business. This license includes, but is not limited to, the right to display Your Content within platform features such as feeds, search results, recommendations, and activity digests (as described in Section 5).

Survival. This license survives the deletion of your account or removal of Your Content. Content that has been shared, cached, redistributed, or incorporated into the platform may continue to exist even after you delete it or your account.

Representations. You represent and warrant that you have all necessary rights, licenses, and permissions to submit Your Content and to grant the license described above. You further represent that Your Content does not infringe or violate the intellectual property rights, privacy rights, or any other rights of any third party.

Responsibility. You are solely responsible for Your Content. Yanza LTD does not endorse, verify, or assume any responsibility for any content submitted by users.

Moral Rights. To the fullest extent permitted by applicable law, you irrevocably waive and agree not to assert any moral rights you may have in Your Content, including rights of attribution, integrity, and any other rights recognized as "moral rights" under applicable copyright law.

Public Visibility. Karaty is a public platform. Content posted to public Spaces is visible to all users and visitors, and may be indexed by search engines. You should have no expectation of privacy with respect to content you post in public Spaces.

Content Aggregation. As part of operating the platform, Yanza LTD may aggregate, summarize, analyze, and surface publicly posted content through various platform features. These include, but are not limited to: trending content listings, content recommendations, search results, and platform-wide analytics.

Activity Digests. Karaty provides Space owners and moderators with periodic activity digests — summaries of public activity within their Spaces. These digests may include information such as post titles, comment counts, engagement metrics, and activity trends. Activity digests are a core platform feature designed to help Space owners manage and understand their communities. They contain only publicly available information and do not expose private user data such as private messages, email addresses, or browsing activity.

The content license you grant in Section 4 covers all uses described in this section. This section is provided for transparency so that you understand how your publicly posted content may be used within the platform.

You agree not to engage in any of the following prohibited activities when using Karaty:

• Illegal Activity: Using the platform for any purpose that is unlawful or that violates any applicable local, national, or international law or regulation.
• Harassment & Threats: Harassing, bullying, intimidating, or threatening other users, or encouraging others to do so.
• Hate Speech: Posting content that promotes hatred, discrimination, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Spam & Manipulation: Posting spam, engaging in vote manipulation, using bots or automated tools to artificially inflate engagement, or otherwise manipulating platform features.
• Impersonation: Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity.
• Privacy Violations: Sharing, publishing, or threatening to publish another person's private or personal information (including real names, addresses, phone numbers, or other identifying information) without their explicit consent.
• Security Violations: Attempting to compromise the security or integrity of the platform, including distributing malware, exploiting vulnerabilities, or accessing accounts or systems without authorization.
• Ban Evasion: Creating new accounts or using other methods to circumvent bans, suspensions, or other restrictions imposed by Yanza LTD or by Space moderators.
• Unauthorized Commercial Use: Using the platform for advertising, solicitation, or other commercial purposes without prior written consent from Yanza LTD.
• Data Collection: Scraping, crawling, or using automated means to collect data from the platform without explicit written permission from Yanza LTD. This includes using bots, spiders, or other automated tools to access, index, or harvest content or user information.

Violation of these rules may result in content removal, account suspension or termination, and, where appropriate, reporting to law enforcement authorities. For more detailed content standards, please refer to our Community Guidelines.

Karaty allows users to create and manage Spaces — communities centered around specific topics or interests. Each Space is managed by its creator ("Space Owner") and any additional moderators they appoint.

Moderator Status. Space Owners and moderators are voluntary contributors to the platform. They are not employees, contractors, agents, or representatives of Yanza LTD. Their actions and decisions are their own and do not represent the views or policies of Yanza LTD.

Moderator Powers. Moderators may establish additional rules for their Spaces, remove content, and restrict or ban users from participating in their Spaces. These actions are at the moderator's discretion, subject to compliance with these Terms and Karaty's Community Guidelines.

Platform Override. Yanza LTD reserves the right, at its sole discretion, to override any moderator decision, remove or replace any moderator, or assume control of any Space, including but not limited to situations where a moderator violates these Terms, abandons a Space, or acts in a manner harmful to the community or the platform.

No Compensation. Moderators serve on a voluntary basis and are not entitled to any compensation, benefits, or remuneration from Yanza LTD unless expressly agreed to in a separate written agreement.

Limitation of Liability. Yanza LTD is not responsible or liable for any actions, decisions, or omissions by Space Owners or moderators, including but not limited to content moderation decisions, enforcement of Space-specific rules, or interactions with users.

Platform Ownership. The Karaty name, logo, trademarks, branding, visual design, user interface, software code, and all other elements of the platform ("Platform Materials") are the exclusive property of Yanza LTD or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, reverse engineer, decompile, or create derivative works based on any Platform Materials without our prior written consent.

Copyright Infringement Claims. Yanza LTD respects the intellectual property rights of others. If you believe that content on Karaty infringes your copyright or other intellectual property rights, you may submit a takedown request in accordance with the Israeli Copyright Act, 2007. Your notice should include:

• Identification of the copyrighted work you claim has been infringed
• Identification of the material on Karaty that you believe is infringing, with sufficient information for us to locate it
• Your contact information (name, address, email, phone number)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
• Your physical or electronic signature

Counter-Notice. If your content has been removed due to a copyright complaint and you believe the removal was made in error or that you have authorization to use the material, you may submit a counter-notice. Yanza LTD will process counter-notices in accordance with applicable Israeli law.

Your use of Karaty is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information. The Privacy Policy is available at /privacy and is incorporated into these Terms by reference.

By using Karaty, you consent to the collection and processing of your data as described in the Privacy Policy. All data processing is conducted in accordance with applicable Israeli privacy laws, including the Privacy Protection Law, 5741-1981, and any regulations enacted thereunder.

Karaty may contain links to, or integrations with, third-party websites, services, or applications (collectively, "Third-Party Services"), including authentication providers and analytics tools. These Third-Party Services are not under the control of Yanza LTD, and we are not responsible for their content, privacy practices, security, or availability.

The inclusion of any link to or integration with a Third-Party Service does not imply endorsement, approval, or recommendation by Yanza LTD. Your use of any Third-Party Service is at your own risk and subject to the terms and conditions and privacy policies of that service.

THE KARATY PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YANZA LTD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Yanza LTD does not warrant that: (a) the platform will be available at all times or operate without interruption or error; (b) any content on the platform is accurate, complete, reliable, or current; (c) the platform is free of viruses, malware, or other harmful components; or (d) the results of using the platform will meet your requirements or expectations.

Yanza LTD does not endorse, verify, or assume any responsibility for user-generated content. Any reliance you place on content posted by other users is strictly at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YANZA LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM; (B) ANY CONTENT OBTAINED FROM THE PLATFORM; (C) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY OR USER ON THE PLATFORM; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR TRANSMISSIONS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF YANZA LTD FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED NEW ISRAELI SHEKELS (NIS 100); OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO YANZA LTD IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to defend, indemnify, and hold harmless Yanza LTD, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Karaty platform
• Your Content or any content you submit, post, or transmit through the platform
• Your violation of these Terms
• Your violation of any applicable law, regulation, or rule
• Your violation of any rights of a third party, including intellectual property rights, privacy rights, or publicity rights

Yanza LTD reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with Yanza LTD in asserting any available defenses.

Yanza LTD reserves the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on the platform, sending a notification through Karaty, or by other reasonable means such as email.

The "Last Updated" date at the top of these Terms will be revised to reflect the date of the most recent changes. Your continued use of Karaty after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the platform.

We encourage you to review these Terms periodically to stay informed about any changes.

By Yanza LTD. We may suspend, restrict, or terminate your access to Karaty at any time, with or without cause and with or without notice, including but not limited to situations where we reasonably believe you have violated these Terms or any applicable law, or that your conduct may harm the platform, other users, or Yanza LTD.

By You. You may stop using Karaty and delete your account at any time. Instructions for account deletion are available in your account settings.

Effect of Termination. Upon termination or suspension, your right to access and use the platform will immediately cease. The following sections of these Terms shall survive termination: Section 4 (User Content & License Grant), Section 11 (Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 16 (Governing Law & Dispute Resolution), and Section 17 (Miscellaneous).

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or your use of Karaty shall be brought exclusively in the competent courts located in Tel Aviv-Jaffa, Israel. You consent to the personal jurisdiction and venue of such courts and waive any objection to the convenience of such forum.

Entire Agreement. These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and Yanza LTD regarding your use of Karaty, and supersede all prior agreements, understandings, and communications, whether written or oral.

Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

No Waiver. The failure of Yanza LTD to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Yanza LTD.

Assignment. Yanza LTD may assign or transfer its rights and obligations under these Terms, in whole or in part, at any time without notice or your consent. You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Yanza LTD.
